Mutual Non-Disclosure Agreement: clauses and what each one does

  1. Purpose. Names the reason for sharing. Both sides may share and both are bound.
  2. Confidential Information. Defines what is protected. A broad, reasonable definition means unmarked information is covered too.
  3. Exclusions. The standard carve-outs: public, already known, received elsewhere legitimately, or built independently.
  4. Obligations of the Receiving Party. The core promise: use the information only for the stated purpose, keep it safe, and share it only on a need-to-know basis.
  5. Disclosure Required by Law. Allows disclosure when a court or law demands it, with advance notice where possible.
  6. Term. Sets how long sharing is covered and how long secrecy lasts afterwards; trade secrets stay protected while they remain secret.
  7. Return or Destruction. When asked, the information must be handed back or deleted, with a practical exception for backups.
  8. No License and No Obligation. Sharing does not transfer ownership or commit either side to a deal.
  9. Remedies. Lets the information owner ask a court to stop a leak quickly, not only to claim money afterwards.
  10. Governing Law and Disputes. Picks whose law applies and asks both sides to talk before going to court. Which courts can hear a dispute is not chosen here; add it with your lawyer.
  11. General. Standard housekeeping: this document is the whole deal, changes must be in writing, and electronic signatures count.

How to fill in an NDA template

  1. Choose mutual or one-way. Mutual when both sides will share confidential information, for example a partnership talk. One-way when only you share, for example with a contractor or investor.
  2. Enter both parties. Full legal names and addresses, and who signs for each side.
  3. Write the purpose. One specific line, for example "evaluating a possible integration partnership". A narrow purpose protects you better.
  4. Set the term. Typical NDAs cover 1 to 2 years of sharing and keep secrecy for 2 to 5 years after. Pick what fits your deal.
  5. Type the governing law. Enter the US state or country whose law should apply.

What is the difference between a mutual and a one-way NDA?

In a mutual NDA both parties share confidential information and both promise to protect it. In a one-way NDA only the disclosing party shares, and only the receiving party takes on the duties. Pick mutual when information flows both ways.

How long should an NDA last?

It depends on how long the information stays valuable. Many business NDAs cover 1 to 2 years of sharing and keep secrecy for 2 to 5 years after. Trade secrets are usually protected for as long as they remain secret. Ask a lawyer what fits your case.
