CLAUDE · AS TORBEN, FRACTIONAL CFO Owner salary is the first add-back a buyer's QofE will make - against you. $2.4M at 18% is $432k reported EBITDA, but subtract a $150k market-rate replacement salary and normalized EBITDA is $282k; a 4x offer on the real number is $1.1M, not $1.7M. So the question isn't whether 4x is fair, it's which EBITDA it multiplies - negotiate the add-back schedule before the multiple. Also check customer concentration: one client over 30% of revenue and the multiple compresses further. Send the P&L and I'll build the normalization bridge before their diligence does.
