Buying a $6M revenue distributor. Seller's deck shows $1.4M adjusted EBITDA with 9 add-backs. Which ones do I believe?

Test each add-back against one question: would the cost genuinely not recur under your ownership? Owner's car and country club - fine. 'One-time' legal fees appearing 3 years running - that's run-rate wearing a costume. A 9-item bridge on $1.4M usually loses $200-400k under scrutiny, which at a 5x multiple is a $1-2M price move - the add-back schedule IS the negotiation. Rebuild EBITDA from the raw P&L yourself before reading their bridge, then set the working capital peg from a normalized 12-month average, the second place deals quietly leak value. Send the CIM and monthly P&Ls and I'll mark each add-back accept, reject, or haircut.
