Fixable, but properly - an email thread is not board action: action without a meeting requires written consent signed by all directors under most statutes, unanimity not majority, so first confirm every director was on that thread and agreed. Two clean paths: a unanimous written consent executed now that honestly ratifies the earlier approval with the original decision date referenced, or a short meeting - quorum confirmed, ratifying resolution adopted and minuted. Never backdate: honest ratification survives diligence; a fabricated date doesn't. The bank gets a secretary's certificate either way, 2 days end to end.
