We closed a $42M acquisition, need the ASC 805 allocation done in three weeks for the audit, and the target has almost no fixed assets - what actually gets allocated?

Most of that $42M is going to intangibles and goodwill, not fixed assets, since an asset-light target usually shows customer relationships, developed technology and maybe a trade name as the identifiable intangibles. The excess over fair value of net identifiable assets is goodwill, and your auditor will push hardest on the discount rate used for the multi-period excess earnings method, not on the allocation itself.
